Content – Any data, materials, code, media, or other digital assets You provide for use with the RendyJS service. This includes website code, images, text, scripts, and other elements necessary for rendering or pre-rendering JavaScript-heavy web pages to ensure proper indexing and SEO optimization.
Dashboard – A real-time analytics platform is provided with the Service, offering insights into Bot requests, rendering performance, and key SEO metrics.
Service – A server-side rendering solution that ensures search engine bots receive fully rendered HTML content to enhance indexing, SEO performance, and website visibility.
Snippet – A lightweight piece of code implemented at the server level, used to differentiate bot traffic from regular users. The snippet redirects bots to RendyJS for server-side rendering while allowing human users to access the website directly.
Tool - RendyJS.
Rendering – The process of converting JavaScript-heavy web pages into static HTML before serving them to Bots, ensuring full readability and proper indexing.
We/Us - used to refer to the Commerce Growth 360, Inc..
You/User - the Client, a natural or a legal person using the Service, the person to whom these TOS are applicable.
- SERVICE DESCRIPTION
  Our Service provides an advanced server-side rendering solution designed for websites that rely heavily on JavaScript. Many search engine Bots struggle to properly index JavaScript-driven content, leading to incomplete or inaccurate rankings. Our solution ensures that these Bots receive fully rendered HTML versions of your web pages, improving discoverability and SEO performance.
- - - 2.1. How it works?
    - - 1. A Snippet is added at the server level—this does not require changes to Your website's code.
      - 2. The Snippet identifies Bot traffic and redirects it to RendyJS, Our rendering engine.
      - 3. RendyJS pre-renders the page, converting dynamic JavaScript Content into a static HTML format.
      - 4. The pre-rendered HTML is sent back to the requesting Bot, ensuring complete indexing of all important page elements.
      - 5. Human visitors continue to access Your website directly without any interference.
  - - 2.2. What You Get?
    - - 1. SEO Optimization – Ensures that all critical Content is accessible and indexable by search engines, improving Your rankings.
      - 2. Improved Performance – Bots receive fully rendered Content without delays, reducing the risk of incomplete indexing.
      - 3. Detailed Analytics – Gain access to a dashboard with insights into Bot activity, page rendering efficiency, and overall SEO performance.
  - - 2.3. How to Subscribe?
    - - 1. To access the Services, You must create and maintain an account associated with a valid email address and a valid form of payment. You may create multiple accounts using a single email address, provided the email address is modified by appending “+text” (e.g., name+text@domain.com). Additionally, you can access the Services through third-party login options, such as Google or GitHub accounts, provided that Your login credentials are valid and authorized. If requested, multiple email addresses can be linked to a single account for easier access and management.
      - 2. Upon signing up, a User will gain access to the User Portal. For security reasons, access to the User Portal will not be sent via email but will instead be provided through a password reset link to the email address used during registration.
      - 3. You agree to promptly notify Us of any unauthorized use of Your account or any loss, theft, or disclosure of Your account password or other access credentials for the applications included in Our Service. Failure to comply with these obligations will be considered a breach of these Terms of Service.

- PAYMENTS, FEES, TAXES
- - 5.1. We charge monthly according to the Pricing List posted on the Website. By accepting these TOS, You agree to these charges. Payments are made via credit card.
  - 5.2. You will settle payments via Stripe, and We will deduct the monthly payments according to the subscribed Services. By accepting these TOS and providing credit card details, You confirm that You are authorized to do so on behalf of Your organization. You must ensure sufficient funds for automatic deductions and notify Us if funds are insufficient.
  - 5.3. The details of the current subscription plan applied to Your account, including the expected next payment amount and due date, are available in the tool’s Dashboard within your account
  - 5.4. Any new or updated fees will be effective once posted on the Website or communicated to You. We may increase existing fees with 30 (thirty) days' notice.
  - 5.5. If the Service is unavailable, You may request a credit for that period. Payments are processed by a third-party provider, and You authorize Us to charge Your selected payment method. You’re also responsible for any related taxes, duties, fees, etc.
  - 5.6. If payments are not made on time, Your account may be frozen and eventually deleted if not settled within 14 (fourteen) days. Your subscription automatically renews monthly unless canceled. No refunds are provided for partial months or unused services.
- INTELLECTUAL PROPERTY
- - 6.1. We or Our licensors retain all ownership rights, title, and interest in and to the Services, including but not limited to all associated software, technology, and intellectual property. Using the Services does not grant You any ownership rights.
  - 6.2. We grant You a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services solely for their intended purpose, as defined in these TOS. You may not modify, distribute, sell, or create derivative works based on the Services. Any attempt to reverse-engineer, decompile, or otherwise extract source code from the Services is strictly prohibited.

However, by using the Service, You grant Us a non-exclusive, worldwide, royalty-free license to process, render, and display such Content as necessary to provide the Service. You are solely responsible for ensuring that Your Content does not infringe on any third-party copyrights, trademarks, patents, or trade secrets.

If You believe that someone is using the Services to infringe upon Your intellectual property rights, please contact Us at info@rendyjs.com with sufficient details to locate and evaluate the alleged infringement. We will take appropriate action in compliance with applicable intellectual property laws.
  - 6.5. The Services may incorporate third-party software or content, which may be subject to separate license terms. In case of a conflict between these TOS and a third-party license, the latter will govern with respect to the third-party content.
- LIMITATIONS OF LIABILITY

    All communications and notices made or given pursuant to these TOS must be in the English language. If We provide a translation of the English language version of these TOS, the English language shall prevail.

    You are permitted to state publicly that You are using our Services, and You agree that We may include your name and trademarks in a list of our customers, online, in promotional materials, or verbally reference them.

    (You may cancel the Service at any time by providing a 7-day prior notice and removing the Snippet from Your server. Once , the Service will cease processing and rendering pages for Bots.
    (If You cancel the Service, You remain responsible for the final payment, calculated based on the number of cached pages during the last month.
  - 13.1. We may terminate Your access to the Service, in whole or in part, upon notice if:
    (a)
    You breach these TOS;
    (b)
    You fail to pay any fees (as per Section 5);
    (a)
    We are required to terminate by law or a governmental authority.
  - 13.2. Termination by You
    (a)
    may cancel the Service at any time by providing a 7-day prior notice and removing the Snippet from Your server. Once , the Service will cease processing and rendering pages for Bots.
    (b)
    If You cancel the Service, You remain responsible for the final payment, calculated based on the number of cached pages during the last month.
  - 13.3. Post-Termination Obligations
    (a)
    Upon termination, all rights granted to You under these TOS immediately cease, however, any provisions that by their nature should survive termination—including, but not limited to, indemnification, and limitation of liability—will remain in effect.
    (b)
    You remain responsible for all fees incurred until the termination date.
    (c)
    Your Content and analytics data will remain available for retrieval via the Dashboard for 30 days post-termination, provided all outstanding amounts have been paid.
    (d)
    We will prepare and submit a final settlement invoice within 10 days after termination based on the last month’s cached pages.
  - 13.4.
    Upon termination of the Services for any reason, all User Content, User Websites, and associated data will be permanently deleted. It is Your responsibility to retrieve any necessary data within 30 days from the due date of the final issued invoice. After this period, data recovery will no longer be possible.
  - 13.3. Post-Termination Obligations
    (a) Upon termination, all rights granted to You under these TOS immediately cease, however, any provisions that by their nature should survive termination—including, but not limited to, indemnification, and limitation of liability—will remain in effect.
    (b) You remain responsible for all fees incurred until the termination date.
    (c) Your Content and analytics data will remain available for retrieval via the Dashboard for 30 days post-termination, provided all outstanding amounts have been paid.

  - 13.4. Upon termination of the Services for any reason, all User Content, User Websites, and associated data will be permanently deleted. - FORCE MAJEURE
- - We and our affiliates will not be liable for any delay or failure to perform any obligation under these TOS if the delay or failure results from causes beyond our reasonable control, including natural disasters, labor disputes, power outages, telecommunications failures, riots, government actions, terrorism, pandemics, war, or any other circumstances outside our control.

- PAYMENTS, FEES, TAXES
- - We charge monthly according to the Pricing List posted on the Website. By accepting these TOS, You agree to these charges. Payments are made via credit card.
  - You will settle payments via Stripe, and We will deduct the monthly payments according to the subscribed Services. By accepting these TOS and providing credit card details, You confirm that You are authorized to do so on behalf of Your organization. You must ensure sufficient funds for automatic deductions and notify Us if funds are insufficient.
  - Any new or updated fees will be effective once posted on the Website or communicated to You. We may increase existing fees with 30 (thirty) days' notice.
  - If the Service is unavailable, You may request a credit for that period. Payments are processed by a third-party provider, and You authorize Us to charge Your selected payment method. You’re also responsible for any related taxes, duties, fees, etc.
  - If payments are not made on time, Your account may be frozen and eventually deleted if not settled within 14 (fourteen) days. Your subscription automatically renews monthly unless canceled. No refunds are provided for partial months or unused services.
- INTELLECTUAL PROPERTY
- - We or Our licensors retain all ownership rights, title, and interest in and to the Services, including but not limited to all associated software, technology, and intellectual property. Using the Services does not grant You any ownership rights.

However, by using the Service, You grant Us a non-exclusive, worldwide, royalty-free license to process, render, and display such Content as necessary to provide the Service. You are solely responsible for ensuring that Your Content does not infringe on any third-party copyrights, trademarks, patents, or trade secrets.
  - If You believe that someone is using the Services to infringe upon Your intellectual property rights, please contact Us at info@rendyjs.com with sufficient details to locate and evaluate the alleged infringement. We will take appropriate action in compliance with applicable intellectual property laws.
  - The Services may incorporate third-party software or content, which may be subject to separate license terms. In case of a conflict between these TOS and a third-party license, the latter will govern with respect to the third-party content.
- LIMITATIONS OF LIABILITY

- CHANGES TO TOS

  - All communications and notices made or given pursuant to these TOS must be in the English language. If We provide a translation of the English language version of these TOS, the English language shall prevail.
  - You are permitted to state publicly that You are using our Services, and You agree that We may include your name and trademarks in a list of our customers, online, in promotional materials, or verbally reference them.
- GOVERNING LAW/JURISDICTION
- - These Terms are governed by the laws of the State of New York, and disputes will be resolved through binding arbitration in New York City, administered by JAMS.
  - Disputes will be settled by arbitration under JAMS’ rules, with no jury trial or class actions. Provisional remedies can be sought in court. The prevailing party may recover attorneys’ fees and arbitration costs. Arbitration awards can be enforced in any court with jurisdiction.
- TERMINATION
- - We may terminate Your access to the Service, in whole or in part, upon notice if:
    (a) You breach these TOS;
    (b) You fail to pay any fees (as per Section 5);
    (c) We are required to terminate by law or a governmental authority.
  - Termination by You
    (a) You may cancel the Service at any time by providing a 7-day prior notice and removing the Snippet from Your server. Once terminated, the Service will cease processing and rendering pages for Bots.
    (b) If You cancel the Service, You remain responsible for the final payment, calculated based on the number of cached pages processed during the last month.
  - Post-Termination Obligations
    (a) Upon termination, all rights granted to You under these TOS immediately cease, however, any provisions that by their nature should survive termination—including, but not limited to, indemnification, and limitation of liability—will remain in effect.
    (b) You remain responsible for all fees incurred until the termination date.
    (c) Your Content and analytics data will remain available for retrieval via the Dashboard for 30 days post-termination, provided all outstanding amounts have been paid.
    (d) We will prepare and submit a final settlement invoice within 10 days after termination based on the last month’s cached pages.
  - Upon termination of the Services for any reason, all User Content, User Websites, and associated data will be permanently deleted. It is Your responsibility to retrieve any necessary data within 30 days from the due date of the final issued invoice. After this period, data recovery will no longer be possible.
- FORCE MAJEURE
- - We and our affiliates will not be liable for any delay or failure to perform any obligation under these TOS if the delay or failure results from causes beyond our reasonable control, including natural disasters, labor disputes, power outages, telecommunications failures, riots, government actions, terrorism, pandemics, war, or any other circumstances outside our control.
